Eton's Quarter Produced Three Different EPS Numbers. Wall Street Compared the Biggest One.
Eton Pharmaceuticals, Inc. (Nasdaq: ETON) reported second-quarter results after Thursday's close showing revenue of $37.6 million, up 99% from $18.9 million a year earlier, and raised full-year revenue guidance again. What the release did not produce is a single earnings-per-share number, and the one that circulated fastest was the largest of three.
The company reports GAAP diluted earnings of $0.35 per share, GAAP basic earnings of $0.42, and non-GAAP diluted earnings of $0.43. Which one constitutes a beat depends on the provider. Investing.com paired the adjusted $0.43 with a $0.15 estimate and revenue with a $26.88 million consensus; Quiver Quantitative paired the GAAP $0.35 with a $0.12 estimate and revenue with $27.66 million. The quarter is the same in both; the size of the beat is not. What is not in dispute is that the $0.43 sits eight cents above the GAAP diluted figure that will appear in the filings.
Basic exceeding diluted is the ordinary direction — dilution can only reduce a per-share figure — so the gap itself is unremarkable. The denominator is less so. The release reports a diluted weighted-average share count of 32.787 million against 31.141 million a year earlier, and a basic weighted average of 27.642 million against 26.893 million. Shares issued and outstanding at June 30 were 28,289,941. The diluted denominator runs roughly four and a half million shares above the stock in existence, carrying potentially dilutive securities that are not yet outstanding shares.
The swing is real on either basis. Eton posted GAAP net income of $11.6 million, against a net loss of $2.6 million a year earlier, and non-GAAP diluted earnings went from $0.03 to $0.43.
Adjusted EBITDA was $16.2 million, a 43% margin, against $3.1 million and a 16% margin a year earlier. Eton defines the measure as net income or loss excluding stock-based compensation and expenses, interest, taxes, depreciation, amortization and specified non-recurring items — and that adjustment stack is the roughly $4.6 million between GAAP net income and adjusted EBITDA.
Gross profit was $25.4 million, and the two margin measures point in opposite directions. GAAP gross margin rose to 67.6% from 63.0%. Adjusted gross margin fell to 73% from 75% — and it is the adjusted line the company guides on. Chief financial officer Judy Matthews said the decrease "was primarily attributable to higher INCRELEX sales outside the U.S., which generate a negative gross margin," per the call transcript published by Investing.com.
The guidance raise was the headline for the sell side. "Given our first half performance and strong outlook for the remainder of the year, we're pleased to again raise our annual revenue guidance and now expect at least $145 million of revenue this year. We are also raising our adjusted EBITDA guidance, which includes the additional expenses related to the ASN-001 transaction and development. We now expect to deliver an Adjusted EBITDA margin of at least 35%," said Sean Brynjelsen, chief executive of Eton Pharmaceuticals. The release states prior guidance as more than $120 million of revenue and a margin of at least 30%.
The revenue target is a GAAP figure; the profitability target is not. The release puts the full-year adjusted gross margin outlook above 70%, "inclusive of the potential $4 million commercial milestone." Matthews told the call it is "expected to be recorded in the fourth quarter of 2026 upon achievement of certain net sales thresholds for ALKINDI SPRINKLE and KHINDIVI." Such a payment would flatter the full-year adjusted figures without recurring.
Brynjelsen credited the quarter to the rare-disease portfolio and the HEMANGEOL relaunch, which the release dates to May and which he said had "the patient conversion completed ahead of schedule." The release's own body language is narrower: approximately 95% of existing patients had been transitioned by the end of June.
The balance sheet has not caught up with the income statement. Eton ended June with $26.8 million of cash against $8.8 million of short-term and $19.1 million of long-term debt — roughly $27.9 million of borrowings, slightly more than cash on hand, after what Matthews said was a $3 million prepayment. The dilution in the share count, the reliance on adjusted metrics in guidance, and a pipeline whose two largest submissions are an AMGLIDIA NDA targeted by end-2026 and an ASN-001 NDA in the second half of 2027 are the standing risks.
H.C. Wainwright maintained a Buy rating and raised its price target to $65 from $57, according to Investing.com, which did not name the analyst or timestamp the note.
The share reaction has run well past the after-hours move, though the intraday number is thinly sourced. Eton closed Thursday at $40.80, down 1.88%, per StockAnalysis.com, then traded up 20.3% to $49.08 after hours, per Investing.com, which flagged an all-time high of $55.07 in a note published at 9:31 a.m. ET Friday.
